These terms govern your use of www.scvue.com, the SCVue marketing website, and nothing else. Using this website means you accept them.

The SCVue application at app.scvue.com is a separate service with its own terms, which you agree to when you register for an account and subscribe. Nothing on this page grants you any right to use the application, and nothing on this page limits or alters the agreement that governs it.

This website describes SCVue and how it works. It is published for information. Descriptions of features, editions, and prices are given in good faith and may change, and they do not by themselves form part of any contract between us. What you are entitled to receive is set by the terms you accept when you subscribe, together with any order form or written agreement between us.

Access to this website is free and we do not charge for it. The SCVue application at app.scvue.com is a separate service with its own editions and pricing.

3. Using this website

You agree not to:

  • attack, disrupt, overload, or attempt to gain unauthorized access to this website or the systems that serve it;
  • use automated means to collect from this website at a rate or volume that interferes with its operation for anyone else;
  • use the contact form to send unlawful, abusive, or deceptive material, to impersonate anyone, or to send bulk unsolicited messages;
  • copy, frame, or republish this website so as to present it as your own or as endorsed by you; or
  • use this website in a way that breaks a law that applies to you.

We may restrict access to this website where it is necessary to protect it, our other visitors, or a third party.

4. Export control and sanctions

nDiligence is a United States company and this website is subject to United States export control and economic sanctions laws. You may not access or use this website if you are located in, ordinarily resident in, or organized under the laws of a country or territory subject to comprehensive United States sanctions, or if you are a person with whom United States persons are prohibited from dealing, including a person named on a restricted or denied party list maintained by the United States government. By using this website you represent that none of these applies to you.

You are responsible for what you send through the contact form, and for having the right to send it. Do not send us confidential information, personal information about other people, or anything you would not want read by more than one person at nDiligence. How we handle a submission is described in the Privacy Policy. If you send us feedback or a suggestion, we may use it without obligation or payment to you.

6. Intellectual property

This website, its text, images, and design, together with SCVue™, the SCVue logo, and the nDiligence name and marks, are the property of nDiligence, Inc. and are protected by intellectual property law. You may view this website, and print or save pages of it, for your own information and internal business use. Any other copying, adaptation, redistribution, or commercial use requires our written permission.

7. Copyright complaints

This website does not host material submitted by the public. If you nevertheless believe that something published here infringes a copyright you own or control, write to legal@ndiligence.com or to the postal address in section 1. Identify the work, identify the material on this website you say infringes it and where it appears, give us a way to reach you, and state that you have a good faith belief the use is not authorized. We will look into it and remove or correct anything that should not be here.

8. Links to other sites

This website links to the SCVue application at app.scvue.com, to nDiligence at www.ndiligence.com, and occasionally to other sites we do not control. Those destinations have their own terms and privacy policies, and we are not responsible for their content.

9. No warranty

To the fullest extent permitted by law, this website is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error free, or that everything on it is complete or current at the moment you read it. We disclaim the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow these exclusions, in which case they apply only as far as that jurisdiction permits.

10. Limitation of liability

To the fullest extent permitted by law, nDiligence is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of your use of this website, and our total aggregate liability arising out of or related to this website is limited to the amount you paid us for access to this website. Nothing here excludes liability for fraud, for fraudulent misrepresentation, for death or personal injury caused by negligence, or for anything else the law does not permit to be excluded.

11. Accessibility

We want this website to be usable by everyone, and we build it toward the Web Content Accessibility Guidelines. If you meet a barrier here, or need something on this website in a different format, write to legal@ndiligence.com and tell us what you were trying to do. We will help you get to the information and fix what we can.

12. Changes

We may change this website, and these terms, at any time. The date at the top of the page shows when the current version took effect, and continuing to use the website after a change means accepting it.

13. Governing law and language

These terms are governed by the laws of the State of California, United States, without regard to its conflict of laws rules. The state and federal courts located in the State of California have exclusive jurisdiction over any dispute arising out of them or out of your use of this website. Nothing in this section deprives a consumer of the protection of a mandatory law of the country where they live.

These terms and the Privacy Policy are published in English. If we make a translation available, it is provided for convenience, and the English version governs if the two differ.

14. General

If a provision of these terms is held unenforceable, the rest remains in force. A failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
